TERMS AND CONDITIONS
1. Services
1.1 EXCEL NEXUS (“we”, “us”, “our”) provides data processing, document redaction, digitisation and related services (“Services”) as agreed with the Client.
1.2 Services are provided on a project basis or hourly rate as specified in our quotation.
1.3 We will perform Services with reasonable skill and care.
2. Quotations and Payment
2.1 Quotations are valid for 30 days unless otherwise stated.
2.2 Payment terms are 14 days from invoice date unless otherwise agreed in writing.
2.3 We reserve the right to charge interest on overdue invoices at 4% above Bank of England base rate.
3. Client Obligations
3.1 The Client will provide all necessary materials, information and instructions required to complete the Services.
3.2 The Client confirms they have legal authority to share data/documents with us for processing.
3.3 The Client is responsible for determining legal scope of work (e.g., which documents are disclosable in SARs).
4. Confidentiality and Data Protection
4.1 We will treat all Client data as strictly confidential.
4.2 All data is processed and stored using secure Microsoft SharePoint cloud infrastructure with encryption and access controls.
4.3 We do not store Client data on local devices.
4.4 We comply with UK GDPR and Data Protection Act 2018 requirements.
4.5 We act as a Data Processor when handling personal data. The Client remains the Data Controller.
4.6 All Client data is securely deleted within 30 days of project completion unless otherwise instructed.
4.7 We will not disclose Client data to third parties except as required by law.
5. Data Security
5.1 Data transfer is via secure SharePoint folders with access restricted to authorised personnel.
5.2 Physical documents (where applicable) are stored securely and can be returned or securely destroyed as instructed.
5.3 We maintain appropriate technical and organisational measures to protect Client data.
6. Intellectual Property
6.1 All deliverables and work product become the property of the Client upon full payment.
6.2 We retain the right to use anonymised examples of our work for marketing purposes.
7. Liability
7.1 Our total liability for any claim arising from Services shall not exceed the fees paid for the specific project in question.
7.2 We are not liable for:
- Errors arising from inaccurate or incomplete information provided by the Client
- Decisions made by the Client based on our work product
- Consequential, indirect or special losses
- Legal compliance decisions (e.g., SAR disclosure scope)
7.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or other liabilities that cannot be excluded by law.
8. Cancellation and Termination
8.1 Either party may terminate an engagement with 7 days written notice.
8.2 The Client remains liable for payment for work completed up to the termination date.
8.3 Upon termination, all Client data will be securely returned or destroyed as instructed.
9. Turnaround Times
9.1 Estimated turnaround times are indicative and not guaranteed unless expressly agreed as a fixed deadline.
9.2 Turnaround times depend on Client providing complete materials and timely responses to queries.
10. Quality and Revisions
10.1 We will use reasonable endeavors to ensure accuracy of our work.
10.2 The Client should review deliverables promptly and notify us of any errors within 7 days.
10.3 We will correct genuine errors at no additional cost.
10.4 Additional revisions requested due to Client requirement changes may incur additional charges.
11. Force Majeure
11.1 We are not liable for delays or failures due to circumstances beyond our reasonable control.
12. General
12.1 These Terms constitute the entire agreement between the parties.
12.2 Any variations must be agreed in writing.
12.3 If any provision is found to be unenforceable, the remaining provisions continue in effect.
12.4 These Terms are governed by the laws of England and Wales.
12.5 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
